Educational, Accreditation, and Standards Disclaimer

Patient Ready’s Platform, including all simulations, content, assessments, AI-driven interactions, and learning analytics, is provided solely as an educational and training support tool. The Platform does not replace, supersede, or define academic curricula, accreditation requirements, certification standards, licensure requirements, institutional policies, or regulatory obligations.

Patient Ready does not determine or establish standards of care, scope of practice, educational sufficiency, or clinical competency. All educational programs, institutions, instructors, learners, and users remain solely responsible for compliance with applicable academic requirements, accreditation standards, certification criteria, licensure regulations, and governing laws, as defined by relevant regulatory, accreditation, and professional bodies. This includes any insights, recommendations, scoring, or adaptive outputs generated by artificial intelligence or automated systems within the Platform.

In the event of any discrepancy, inconsistency, or conflict between Patient Ready’s simulations, content, assessments, or outputs and any accredited curriculum, institutional policy, regulatory requirement, or approved professional standard, the user agrees that the authoritative and controlling guidance shall be the applicable accredited, certified, or regulator-approved medical, clinical, or educational standard.

Use of the Platform does not relieve users or institutions of their obligation to adhere to current, jurisdiction-specific medical practices, educational standards, and professional requirements, nor does it substitute for formal instruction, supervised clinical experience, or professional judgment.

1. Acceptance of Terms

Welcome to Patient Ready, Inc. (“Patient Ready,” “Company,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of Patient Ready’s digital learning and training Platform, including our websites, web applications, mobile applications, virtual reality modules, simulations, and related services (collectively, the “Platform”).

By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.

2. Description of Services

Patient Ready provides educational and workforce readiness software and training solutions using virtual reality, web, mobile, and AI-enabled technologies. The Platform is designed to support professional learning, skills development, and performance readiness for healthcare and other high-stakes professions.

Our customers may include, without limitation, community colleges, universities, health systems, hospitals, medical device companies, pharmaceutical companies, and other institutional or enterprise partners.

The Platform is intended solely for education, training, and simulation purposes and does not provide medical advice, diagnosis, treatment, or patient care.

3. User Accounts and Roles

3.1 User Categories

The Platform supports multiple categories of users, each with different permissions, responsibilities, and access rights. These may include, without limitation:

a. Institutional and Administrative Users

Faculty members, instructors, simulation staff, evaluators, program administrators, and other authorized representatives of an educational institution, health system, or enterprise customer (“Administrative Users”).

b. Learners

Students, trainees, residents, or practicing professionals accessing the Platform for educational, training, or professional development purposes (“Learners”).

Access levels, features, data visibility, and permissions may vary by user category and are determined by Patient Ready and/or the applicable institutional agreement.

3.2 Account Provisioning and Control

Administrative User accounts are typically provisioned, managed, and governed by an institution or organization under a separate agreement with Patient Ready. That institution is responsible for:

  • Authorizing and managing user access

  • Assigning roles and permissions

  • Ensuring use of the Platform aligns with applicable academic, clinical, and institutional policies

  • Ensuring that users and learners do not, whether intentionally or unintentionally, publicly publish, distribute, or disclose Patient Ready content, simulations, assessments, insights, or answers in a manner that compromises Patient Ready’s proprietary rights, intellectual property, or the integrity of the educational experience.

Learner accounts may be created by the institution, assigned by an Administrative User, or provisioned through enrollment workflows. Learners access the Platform subject to both these Terms and any applicable institutional policies.

3.3 Learner Responsibilities and Limitations

Learners acknowledge and agree that:

  • Access to the Platform does not imply certification, licensure, accreditation, or competency validation

  • Platform usage does not replace formal education, supervised clinical experience, or professional judgment

  • Progress, performance metrics, and assessments are educational tools and may be interpreted, evaluated, or supplemented by faculty or institutional authorities

  • Learners are responsible for maintaining the confidentiality of their credentials and using the Platform only for authorized educational purposes.

3.4 Account Security and Misuse

All users are responsible for safeguarding account credentials. Accounts are issued to specific individuals or organizations and may not be shared, transferred, or reused outside their authorized scope.

Patient Ready reserves the right to suspend or terminate accounts for misuse, unauthorized access, or violation of these Terms or institutional agreements.

3.5 Institutional Oversight

Nothing in these Terms limits an institution’s authority over its learners, faculty, or staff, including decisions related to grading, evaluation, progression, remediation, or disciplinary action. Patient Ready does not make academic advancement, credentialing, or licensure determinations.

4. Use of the Platform

4.1 License Grant

Subject to these Terms, Patient Ready grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for authorized educational and training purposes.

4.2 Restrictions

You agree not to:

  • Use the Platform for any unlawful, harmful, or unauthorized purpose

  • Modify, adapt, translate, reverse engineer, decompile, or attempt to extract source code

  • Access the Platform with the intent to copy, replicate, benchmark, or compete

  • Record, share or publish Patient Ready outside of your organization, on the internet, or publicly without Patient Ready’s prior written permission

  • Share login credentials within or outside your organization without prior written permission from Patient Ready.

  • Interfere with or disrupt the integrity, performance, or security of the Platform

5. Content and Intellectual Property

5.1 Ownership

All content, software, simulations, models, audiovisual materials, trademarks, and other intellectual property available on or through the Platform are owned by or licensed to Patient Ready and are protected by applicable intellectual property laws.

No rights are granted except as expressly stated in these Terms.

5.2 User Content and Feedback

If you submit feedback, suggestions, or non-confidential content, you grant Patient Ready a worldwide, non-exclusive, royalty-free, perpetual license to use such materials for Platform operation, improvement, research, and development.

6. Privacy

Your use of the Platform is governed by our Privacy Policy, available at patientready.net/privacy-policy, which describes how we collect, use, and protect personal information.

7. Educational, Medical, and Safety Disclaimers

7.1 Educational Use Only

The Platform, content, and all simulations, AI-driven interactions, and digital scenarios are provided for educational and training purposes only. They do not replace professional judgment or real-world clinical decision-making. They do not replace accredited educational programs, curricula, certification requirements, licensure standards, or regulatory obligations. This section should be read in conjunction with the Educational, Accreditation, and Standards Disclaimer above.

7.2 Medical Disclaimer

Patient Ready is not a healthcare provider or an accredited academic institution. The Platform does not provide medical advice, diagnosis, or treatment and should not be relied upon for patient care decisions.

7.3 Virtual Reality and Physical Safety

Use of virtual reality equipment may pose physical risks, including discomfort, dizziness, or injury. You assume all risks associated with the use of VR hardware and agree to follow all safety instructions provided by Patient Ready and hardware manufacturers.

7.4 Geographic and Regulatory Variability

Medical education, clinical practice, and regulatory requirements vary by jurisdiction. Patient Ready does not guarantee that content aligns with all regional standards, licensure requirements, or regulatory frameworks.

7.5 No Guarantee of Outcomes

Patient Ready does not guarantee any specific educational results, performance improvements, exam outcomes, certifications, licensure success, clinical competency, or professional advancement as a result of using the Platform.

8. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Patient Ready disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Patient Ready shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including loss of data, revenue, goodwill, or personal injury, arising out of or related to your use of the Platform.

Patient Ready’s total liability, to the extent permitted by law, shall not exceed the amounts paid by you or your organization for access to the Platform during the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify, defend, and hold harmless Patient Ready, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Platform or violation of these Terms.

11. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of North Carolina, without regard to conflict-of-law principles. Any dispute arising from or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. 

Additional jurisdiction-specific Terms applicable to UK users are set forth in Section 12.

12. United Kingdom–Specific Terms

The following provisions apply solely to users accessing the Platform from the United Kingdom or where Patient Ready provides services to UK-based institutions, learners, or organizations.

12.1 No Exclusion of Mandatory UK Rights

Nothing in these Terms is intended to exclude or limit any rights that cannot be excluded or limited under applicable UK law, including the Consumer Rights Act 2015 or other mandatory statutory protections.

To the extent that any provision of these Terms conflicts with mandatory UK law, such law shall prevail solely to the extent of the conflict.

12.2. Educational Use and Professional Responsibility (UK)

For UK users, the Platform is provided exclusively as an educational and training support tool. It does not constitute regulated clinical decision support, medical advice, diagnosis, or treatment under UK law.

Users remain solely responsible for compliance with:

  • Applicable professional standards

  • NHS policies and procedures

  • Guidance issued by regulatory and professional bodies, including but not limited to the General Medical Council (GMC), Nursing and Midwifery Council (NMC), Health and Care Professions Council (HCPC), and other relevant authorities

In the event of any discrepancy between Platform content and UK regulatory or professional guidance, such guidance shall take precedence.

12.3 Institutional Responsibility and Oversight (UK)

Where access to the Platform is provided through a UK educational institution, NHS trust, or other organization, that organization is responsible for:

* Determining appropriate use of the Platform within its programs

* Ensuring alignment with applicable UK accreditation, training, and governance requirements

* Oversight of learner participation, assessment, and progression

Patient Ready does not confer qualifications, certifications, or professional standing under UK law.

12.4 Governing Law Carve-Out (UK)

The Governing Law and Dispute Resolution section applies except where mandatory UK law requires otherwise. Nothing in these Terms prevents a UK user from asserting rights available under applicable UK consumer or statutory law.

12.5 Data Protection Reference

Use of the Platform by UK users is subject to the Privacy Policy, which addresses data protection obligations under the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.

13. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on the Platform, and continued use constitutes acceptance of the revised Terms.
